Terms of Service
Effective October 17, 2026 · Version 2026-10-17
Please read these Terms carefully. They include a binding individual arbitration agreement and a class action waiver in section 17, which affect how disputes are resolved. You can opt out of arbitration within 30 days, as explained there.
In short: Clarion is a virtual, self-directed study service, not a school and not a guarantee of any score. Each purchase is a one-time payment for 30 days of access to one section, with no automatic renewal. Use the service fairly and keep your account to yourself.
1. Who we are and what these Terms cover
Clarion by Next-Gen Academy ("Clarion," "we," "us," "our") is an online SAT and ACT preparation service operated by ARINA LLC through its AI Solutions Division. You can reach us at support@useclarion.com or +1 (657) 684-9006. Our business address is 1401 21st Street, Suite R, Sacramento, CA 95811.
Clarion is a virtual academy. All study is online and self-directed. Clarion has no physical campus, classrooms or scheduled classes, and does not provide live teachers. Images of buildings or students on our website are illustrations.
These Terms of Service ("Terms") are a binding contract between you and ARINA LLC. They apply to the website at useclarion.com, the Clarion app at app.useclarion.com, and all related features, content and emails (together, the "Service"). Our Privacy Policy and Refund Policy are part of these Terms.
2. Accepting these Terms
You accept these Terms by checking the agreement box when you create an account, or by using the Service. If you do not agree, do not create an account or use the Service. We keep a record of the version you accepted and when.
3. Eligibility, minors and parents
- You must be at least 13 years old to use Clarion.
- If you are 13 to 17, a parent or legal guardian must review and agree to these Terms for you. By allowing a minor to use Clarion, the parent or guardian agrees to these Terms on the minor's behalf and on their own behalf, and is responsible for the minor's use of the Service and for all purchases on the account.
- Purchases must be made by an adult who is authorized to use the payment method.
- You may not use the Service if you are barred from doing so under applicable law, or if we have previously closed your account for violating these Terms.
4. Your account
- Give accurate, current information and keep your email address up to date.
- Keep your password confidential. You are responsible for all activity on your account, whether or not you authorized it, unless it results from our own failure to protect the Service.
- An account is for one student. Do not share, sell or transfer your account or login.
- Notify us promptly at support@useclarion.com if you believe your account has been accessed without permission.
5. Purchases, access and payment
Section passes
Clarion is sold per test section (for example, SAT Math or ACT Reading). Each purchase is a one-time payment that gives one account access to one section for 30 days from the moment payment is confirmed. Buying the same section again before it expires adds another 30 days. A pass is a limited, personal, non-transferable license to use that part of the Service; it is not a purchase of the content itself.
No automatic renewal
We do not store your card for repeat charges and nothing renews automatically. When a pass ends, access to that section stops unless you buy it again. Reminder emails are a courtesy; access ends on schedule whether or not a reminder arrives.
Prices and payment
- Prices are in US dollars, to the cent, and the exact amount is shown before you pay. Applicable taxes are shown at checkout.
- Payments are processed by Stripe, subject to Stripe's own terms. We never receive or store your full card number.
- We may change prices at any time. A change never affects a pass you have already bought.
- If we make an obvious pricing error, we may cancel the affected order and refund it in full.
Recommended books
Clarion may recommend books and link to the stores or publishers that sell them. Clarion does not sell, ship or refund these books. If you buy one, you buy it directly from that store, under its prices, terms and return policy, and any problem with the order is handled by the store.
Affiliate links. Some book links are affiliate links. As an Amazon Associate, ARINA LLC earns from qualifying purchases: if you buy through one of these links, we may receive a small commission from the store at no extra cost to you. Commissions don't affect which books we recommend, and the price you pay is set by the store.
Refunds and chargebacks
Refunds are covered by our Refund Policy. A refunded purchase ends the access it paid for. Please contact us before disputing a charge with your bank; we can usually resolve billing problems quickly. If a charge is disputed, we may suspend access to the purchase concerned while the dispute is open.
6. AI-assisted study content
Explanations, answers, quiz questions, diagrams and reports in Clarion are generated with the help of artificial intelligence. They may contain errors, omissions or out-of-date information. You agree that:
- Clarion is a study aid only. You should check anything important against your textbook, teacher or official test materials.
- Practice scores and reports are not official scores or predictions of your SAT or ACT results.
- You will not rely on the Service as admissions, legal, medical or other professional advice.
- You should not type personal information (such as addresses or phone numbers) into study questions.
7. No affiliation and no guaranteed results
Clarion is independent. SAT® is a trademark registered by the College Board, and ACT® is a registered trademark of ACT Education Corp. Neither organization is affiliated with or endorses Clarion. We do not promise or guarantee any score, score increase, admission, scholarship or other outcome.
8. Acceptable use
You agree not to:
- share, resell, sublicense or give others access to your account or paid content;
- copy, scrape, crawl, frame, mirror or bulk-download content, or access the Service by any automated means;
- use the Service or its output to build, train or improve a competing product or AI model;
- reverse engineer, decompile or try to discover the source code of the Service, except where the law expressly allows it;
- try to get around payment, access limits or security measures, probe for vulnerabilities, or interfere with how the Service runs;
- use the Service to cheat on any test, assignment or exam, or to violate any law or school rule;
- impersonate anyone, or submit anything unlawful, harassing, hateful, sexual, or that infringes someone else's rights.
9. Intellectual property
The Service, including its software, design, text, questions, explanations, diagrams, and the "Clarion" and "Next-Gen Academy" names and logos, belongs to ARINA LLC or its licensors and is protected by copyright, trademark and other laws. Except for the limited license in section 5, no rights are granted to you. While your pass is active, you may view and use its content only for your own personal, non-commercial study.
10. What you submit, and feedback
You keep any rights you have in the questions and messages you submit ("Your Content"). You give us a worldwide, non-exclusive, royalty-free license to host, process and transmit Your Content as needed to provide and secure the Service, including sending it to our service providers. You are responsible for Your Content and confirm you have the right to submit it.
If you send us ideas or suggestions about the Service ("Feedback"), we may use them freely, without any obligation or payment to you.
11. Copyright complaints
If you believe material on the Service infringes your copyright, send a notice to our designated agent at support@useclarion.com (subject "Copyright notice") or by mail to 1401 21st Street, Suite R, Sacramento, CA 95811. Include: your contact details; a description of the copyrighted work; where the material appears on the Service; a statement that you believe in good faith the use is not authorized; a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner; and your physical or electronic signature. We may remove material and close the accounts of repeat infringers.
12. Third-party services and links
The Service relies on third parties, including the hosting, database, payment, email and AI providers listed in our Privacy Policy, and may link to outside websites or resources. We do not control and are not responsible for third-party services, websites or content, or for outages they cause, though we will work to restore access as quickly as we can.
13. Electronic communications
By creating an account, you agree to receive communications from us electronically, including receipts, refund notices, renewal reminders, security messages and notices about these Terms, by email or in the app. These communications satisfy any legal requirement that a communication be in writing. Notices to you are effective when sent to the email address on your account.
14. Suspension, termination and changes to the Service
You may stop using Clarion at any time and may ask us to delete your account by emailing support@useclarion.com. Deleting your account ends access to any active passes.
We may suspend or close your account, or limit access, if we reasonably believe you have violated these Terms, created risk or possible legal exposure for us or others, or used the Service fraudulently. Where we close an account for a serious or repeated violation, we are not required to refund unused time. Otherwise, if we discontinue a section or the Service while you have an active pass, we will refund the unused portion.
We may update, add to or remove features. If a problem on our side keeps you from using a section you paid for during a significant part of your pass, contact us and we will extend your access or refund you as described in the Refund Policy.
15. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY LAW, AND EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT AI-GENERATED CONTENT WILL BE CORRECT OR COMPLETE.
16. Limitation of liability and indemnity
TO THE FULLEST EXTENT PERMITTED BY LAW: (A) ARINA LLC AND ITS MEMBERS, OFFICERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST SCORES, ADMISSIONS, SCHOLARSHIPS, OPPORTUNITIES, DATA OR PROFITS, ARISING OUT OF OR RELATING TO THE SERVICE, EVEN IF ADVISED OF THEIR POSSIBILITY; AND (B) OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR US $50.
These limits apply to every theory of liability and are part of the basis of the bargain between us. They do not limit liability that cannot be limited by law, such as for fraud, gross negligence or willful misconduct. Some places do not allow certain limits, so they may not all apply to you.
You agree to defend, indemnify and hold harmless ARINA LLC and its members, officers, employees and contractors from any third-party claim, and related losses and reasonable legal fees, arising from your violation of these Terms, your misuse of the Service, or Your Content. This does not apply to the extent a claim arises from our own wrongdoing.
17. Dispute resolution: binding individual arbitration
Please read this section carefully. It affects your legal rights.
a. Try to resolve it with us first
Before starting any formal proceeding, you and we each agree to send the other a written description of the dispute and the remedy sought (to us at support@useclarion.com; to you at your account email), and to try in good faith to resolve it for at least 60 days. Time limits for bringing claims are paused during this period.
b. Arbitration
If the dispute is not resolved, any dispute, claim or controversy between you and ARINA LLC arising out of or relating to these Terms or the Service (a "Dispute") will be resolved by binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules in effect at the time. The Federal Arbitration Act governs this section. The arbitrator decides all questions about the scope, validity and enforceability of this section, except as stated in sections 17(d) and 17(g). The arbitration may take place by video, by phone, on written submissions, or in person in the county where you live. Payment of arbitration fees is governed by the AAA Consumer Rules; if your claim is for US $10,000 or less, we will pay all AAA filing, administration and arbitrator fees unless the arbitrator finds your claim frivolous.
c. Exceptions
Either of us may instead bring an individual claim in small claims court if it qualifies and stays there. Either of us may go to court for an injunction to stop infringement or misuse of intellectual property. Nothing here prevents you from bringing an issue to the attention of a government agency.
d. Class action and jury trial waiver
YOU AND ARINA LLC EACH AGREE TO BRING DISPUTES ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, CONSOLIDATED OR REPRESENTATIVE PROCEEDING. YOU AND ARINA LLC EACH WAIVE THE RIGHT TO A JURY TRIAL.
The arbitrator may award relief only to you individually and only to the extent needed for your individual claim. If a court decides that this class action waiver cannot be enforced for a particular claim or form of relief (such as public injunctive relief), that claim or relief will be decided by a court, after the individual arbitration of all other claims, and the rest of this section still applies.
e. 30-day opt-out
You may opt out of this arbitration agreement by emailing support@useclarion.com with the subject "Arbitration opt-out," your name and your account email, within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms. If we make a material change to this section, you may reject the change within 30 days of being notified, and the previous version will continue to apply to you.
f. Many similar claims
If 25 or more similar arbitration demands are filed against us by or with the help of the same law firm or organization, they will be administered in batches of up to 25, with one arbitrator per batch, and the remaining demands paused until each batch is decided, to the extent the AAA's rules allow.
g. If this section does not apply
If this section is found unenforceable, or you opt out, any Dispute will be decided exclusively by the state or federal courts located in Orange County, California, and you and we consent to their jurisdiction, unless the law where you live gives you the right to bring a claim in your local courts.
18. Governing law and time limit for claims
These Terms are governed by the Federal Arbitration Act and the laws of the State of California, without regard to its conflict-of-laws rules. To the extent permitted by law, any claim relating to the Service must be brought within one year after it arises, or it is permanently barred.
19. Changes to these Terms
We may update these Terms. If a change is material, we will notify you by email or in the app at least 14 days before it takes effect, except where a change is required sooner by law. The version and effective date at the top show the current Terms. If you continue to use the Service after a change takes effect, you accept the updated Terms; if you do not agree, you may stop using the Service and close your account. Changes do not apply to Disputes already known to us before the change.
20. General terms
- Entire agreement. These Terms, with the Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service and replace any earlier agreements on the subject.
- Severability. If any provision is found unenforceable, it will be enforced to the maximum extent possible and the rest of these Terms remain in effect, subject to section 17(d).
- No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
- Assignment. You may not transfer these Terms or your account without our written consent. We may transfer these Terms in connection with a merger, acquisition, reorganization or sale of assets, or to an affiliate, with notice to you.
- Events beyond our control. We are not responsible for delays or failures caused by events beyond our reasonable control, such as outages of internet, hosting or payment providers, natural disasters, or acts of government.
- Survival. Sections 6, 7, 9, 10, 15, 16, 17, 18 and 20, and any payment obligations, continue after your account is closed.
- Relationship. Nothing in these Terms creates a partnership, employment, agency or fiduciary relationship.
- Headings. Section headings and summaries are for convenience only and do not affect interpretation.
- California users. Under California Civil Code section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.
